APE X CARTEL TERMS OF SERVICE
PLEASE READ THESE TERMS OF SERVICE CAREFULLY. BY ACCESSING OR USING THE APE X CARTEL WEBSITE, MINTING OR HOLDING APE X CARTEL NON-FUNGIBLE TOKENS (NFTS), OR PARTICIPATING IN THE APE X CARTEL ECOSYSTEM, YOU AGREE TO BE BOUND BY THESE TERMS AND ALL TERMS INCORPORATED BY REFERENCE. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, DO NOT ACCESS OR USE OUR SERVICES.
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Ape X Cartel (referred to as "Ape X Cartel," "AXC," "we," "us," or "our"). These Terms govern your access to and use of the Ape X Cartel website (www.theapexcartel.com]), our Ape X Cartel NFTs (the "AXC NFTs"), and all related services, features, content, and applications (collectively, the "Services").
BY PURCHASING, OWNING, OR INTERACTING WITH AXC NFTS, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND OUR SEPARATE PRIVACY POLICY AND RISK DISCLAIMER, BOTH OF WHICH ARE INCORPORATED HEREIN BY REFERENCE.
1. Definitions

"Ape X Cartel" / "AXC" / "The Project": Refers to the decentralized wealth generation project and ecosystem, operated by a fully doxxed team

"AXC NFT" / "NFT": Refers to the Non-Fungible Tokens issued by Ape X Cartel on Multiple Blockchains

"Holder" / "User" / "You": Refers to any individual or entity that accesses or uses the Services, or mints, purchases, or holds an AXC NFT.

"Platform" / "Website": Refers to the Ape X Cartel website at www.theapexcartel.com and any associated applications or interfaces.

"Hedera Hashgraph" / "Hedera"/"Hashgraph": One of the distributed ledger technology network on which the AXC NFTs are minted and managed.
2. Eligibility
You represent and warrant that you are:

At least 18 years of age (or the age of majority in your jurisdiction, whichever is greater).

Of legal capacity to enter into a binding contract.

Not a resident of or located in a country or jurisdiction that is subject to comprehensive U.S. or international sanctions or embargoes, or any other jurisdiction where your use of the Services would be illegal or prohibited.

Not identified on any U.S. or international sanctions list (e.g., OFAC Specially Designated Nationals and Blocked Persons List).
Ape X Cartel reserves the right to refuse service to anyone for any reason at any time.
3. AXC NFT Ownership and Rights
3.1. Ownership of AXC NFT
When you purchase or mint an AXC NFT, you acquire legal ownership of the specific non-fungible token on the chain you have minted on. This ownership is recorded on the public ledger.
3.2. No Ownership Of Physical Assets or Equity
IMPORTANTLY, OWNERSHIP OF AN AXC NFT DOES NOT CONSTITUTE, NOR DOES IT CONVEY, ANY OWNERSHIP, EQUITY, SHARE, SECURITY, OR DIRECT FINANCIAL INTEREST IN THE COMPANY, OR APE X CARTEL AS A BUSINESS ENTITY, OR ANY OTHER TANGIBLE OR INTANGIBLE ASSETS OF APE X CARTEL.
3.4. Intellectual Property (IP) Rights:

Artwork: The artwork associated with the AXC NFT (e.g., the Ape image) is owned by Ape X Cartel or its licensors. Your ownership of the NFT grants you a limited, non-exclusive, non-transferable, worldwide license to display the artwork for personal, non-commercial purposes. Any commercial use, reproduction, modification, or distribution of the artwork beyond personal display may require explicit written permission from Ape X Cartel.

Project IP: All intellectual property rights related to the Ape X Cartel brand, logo, website content, underlying technology, smart contracts, and other proprietary materials (excluding the individual NFT artwork as per the limited license above) remain the sole property of Ape X Cartel.
3.5. Transferability :
AXC NFTs are transferable on compatible blockchain/hashgraph marketplaces. Any transfer of an AXC NFT is subject to these Terms. You acknowledge that secondary market sales are outside the control of Ape X Cartel, and we are not responsible for the operation, security, or regulatory compliance of any third-party marketplace.
4. Risks and Disclaimers
YOUR ATTENTION IS PARTICULARLY DRAWN TO THE DISCLOSURES CONTAINED IN OUR SEPARATE RISK DISCLAIMER, WHICH IS INCORPORATED HEREIN BY REFERENCE. BY AGREEING TO THESE TERMS, YOU EXPRESSLY ACKNOWLEDGE AND ACCEPT THE INHERENT RISKS ASSOCIATED WITH CRYPTOCURRENCY, NFTS, AND REAL-WORLD ASSET TOKENIZATION.
WITHOUT LIMITING THE FOREGOING, YOU ACKNOWLEDGE AND AGREE THAT:
High-Risk Investment: Purchasing AXC NFTs involves significant financial risk. You may lose all or a substantial portion of your investment.
Volatility: The value of cryptocurrencies and NFTs is highly volatile and subjective. There is no guarantee of sustained value or liquidity for AXC NFTs on any secondary market.
Technological Risks: Risks include smart contract vulnerabilities, blockchain network failures, security breaches, hacks, and other technological issues beyond our control.
No Financial or Investment Advice: Ape X Cartel does not provide financial, investment, legal, or tax advice. You are solely responsible for conducting your own research and consulting with independent professional advisors before making any decisions related to AXC NFTs or the Services.
No Securities Offering: AXC NFTs are not offered as securities and are not registered with any securities regulatory authority.
5. User Responsibilities
You agree to:

Wallet Security: Be solely responsible for maintaining the security of your cryptocurrency wallet, private keys, and any associated credentials. Ape X Cartel is not responsible for any loss of access to your NFTs or funds due to your negligence, theft of your private keys, or any third-party wallet provider issues.

Accurate Information: Provide accurate, current, and complete information as requested (e.g., for KYC/AML purposes if applicable). ● Compliance with Laws: Comply with all applicable local, national, and international laws and regulations, including but not limited to tax laws related to your crypto earnings, anti-money laundering (AML) laws, and sanctions regulations.

Prohibited Activities: You agree not to engage in any prohibited activities, including but not limited to:

Illegal activities, fraud, or money laundering.

Any activity that violates the rights of Ape X Cartel or third parties, including intellectual property rights.

Market manipulation, wash trading, or any deceptive trading practices.

Attempting to gain unauthorized access to our systems or other users' accounts.

Any activity that disrupts or interferes with the functionality of the Services.
6. Privacy Policy
Our Privacy Policy, available at [Link to your Privacy Policy], explains how we collect, use, and protect your personal information. By using our Services, you consent to our data practices as described in the Privacy Policy.
7. KYC/AML Compliance
While the project's current structure is distinct from traditional regulated entities, Ape X Cartel is committed to long-term sustainability and regulatory adherence. We continuously monitor and adapt to evolving global and regional regulations for virtual assets, especially those pertaining to real-world utility and operations.

Potential Future Requirements: If and when applicable laws or our internal policies require it, you may be mandated to complete Know Your Customer (KYC) and Anti-Money Laundering (AML) procedures to continue holding AXC NFTs, receiving payouts, or accessing certain Services.

Consequences of Non-Compliance: Failure to complete required KYC/AML procedures within a specified timeframe may result in the suspension or termination of your ability to receive payouts, access certain features, or participate in the ecosystem, and may lead to the permanent forfeiture of your right to such benefits.
8. Termination
We may suspend or terminate your access to the Services, immediately and without prior notice, if:
You breach any provision of these Terms or our other policies.
You engage in illegal activities, fraud, or any activity that harms Ape X Cartel or its community.
Required by law or a regulatory authority.
The Project is discontinued, subject to the terms of the Project discontinuation.
Upon termination, your right to use the Services will cease immediately. Sections related to ownership, IP rights, disclaimers, limitation of liability, indemnification, governing law, and dispute resolution shall survive termination.
9. Indemnification
You agree to indemnify, defend, and hold harmless Ape X Cartel, its founders, team members, affiliates, and service providers from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

Your access to or use of the Services or AXC NFTs.

Your breach of these Terms or any applicable laws or regulations.

Your violation of the rights of any third party.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL APE X CARTEL, ITS FOUNDERS, TEAM MEMBERS, AFFILIATES, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES OR AXC NFTS; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (III) ANY CONTENT OBTAINED FROM THE SERVICES; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE. IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION (WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE) EXCEED THE AMOUNT YOU PAID, IF ANY, TO APE X CARTEL FOR THE AXC NFT(S) DIRECTLY ASSOCIATED WITH THE CLAIM, OR $100 USD, WHICHEVER IS LESS.
11. Dispute Resolution
11.1. Class Action Waiver:
You agree that any arbitration or legal proceeding shall be limited to the dispute between Ape X Cartel and you individually. You agree that you will not join any claim with the claim of any other person or entity, and you will not participate in any class action lawsuit, class-wide arbitration, or any other consolidated or representative proceeding against Ape X Cartel.
12. Miscellaneous Provisions

Severability: If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect.

Entire Agreement: These Terms, together with our Privacy Policy and Risk Disclaimer, constitute the entire agreement between you and Ape X Cartel regarding your use of the Services and supersede all prior and contemporaneous agreements, understandings, representations, and warranties, whether written or oral.

Assignment: You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations freely without restriction.

Force Majeure: Ape X Cartel shall not be liable for any failure or delay in performance of its obligations under these Terms due to causes beyond its reasonable control, including, but not limited to, acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, blockchain network issues, or strikes.

Waiver: No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
